Terms and Conditions
Terms governing access to and use of Holonic services and related materials.
Grant of rights
Subject to compliance with the Terms and all Policies, Subscriber receives a limited, non-exclusive, non-sublicensable right to access and use the Service only as made available by Holonic and only for permitted internal business use, testing, evaluation, and Suggestions.
Restrictions
Subscriber may not modify, adapt, create derivative works, resell, sublicense, reverse engineer, remove proprietary notices, interfere with the Service, automatically extract data or output, use the Service for illegal purposes, or use the Service to build a similar or competitive product or service.
Changes and technical requirements
Holonic may improve, modify, add, or remove functions or features from the Service from time to time. Subscriber is responsible for obtaining, configuring, and maintaining hardware, network connectivity, third-party software, browsers, systems, and storage devices required to access the Service.
Protection and responsibility for data
Subscriber is responsible for safeguarding credentials and Subscriber facilities, and for all Subscriber Data, Input, notices, consents, and rights required before submitting data through or to the Services.
Holonic ownership and aggregate data
Holonic owns all rights in and to the Service. Holonic may collect or generate Aggregate Data in connection with providing access to the Services and may use Aggregate Data for lawful purposes, including machine learning technologies.
Suspension and termination
Holonic may suspend access for violations or emergency security issues and may terminate under the conditions described in the Terms, including uncured material breach or insolvency-related events.
Confidential information
Subscriber and End Users must treat information obtained through the Service as confidential information of Holonic and may use or disclose it only as permitted under the Terms.
Disclaimer and limitation of liability
The Service is provided “as is,” “as available,” and “with all faults.” Holonic disclaims warranties to the maximum extent permitted by law and limits liability as described in the Terms.
Governing law and jurisdiction
The Terms are governed by the laws of the United States and the State of Delaware. Actions between Holonic and Subscriber must be brought in a court of competent jurisdiction in Atlanta, Georgia.
